1. Nature of Our Service

1.1 Machine Matcher operates a platform that connects buyers seeking industrial machinery (“Buyers”) with third-party manufacturers, dealers, and sellers of machinery (“Sellers”).

1.2 Machine Matcher is a marketing, advertising, and lead-generation service only. We list machinery on behalf of Sellers and facilitate introductions between Buyers and Sellers. We are not a manufacturer, distributor, dealer, retailer, or reseller of any machinery listed on the Platform.

1.3 Except where a Buyer has separately engaged our Sourcing & Buying Support service under a distinct written agreement (see Section 8), Machine Matcher is not a party to any transaction, contract, or agreement between a Buyer and a Seller. Any purchase, sale, negotiation, payment, delivery, or dispute arising from a listing is a matter solely between the Buyer and the Seller.

1.4 We do not manufacture, own, inspect, warehouse, ship, install, or take possession of any machinery listed on the Platform, except where explicitly agreed in writing as part of a separate Sourcing & Buying Support engagement.

2. No Endorsement or Warranty

2.1 Listings on the Platform are provided by Sellers. While we take reasonable steps to review information provided to us, we do not independently verify, inspect, test, certify, or guarantee the accuracy, condition, safety, functionality, specification, legality, or fitness for purpose of any machinery listed.

2.2 Any description, specification, image, video, or claim relating to a listed machine is provided by the Seller and is the sole responsibility of that Seller. Machine Matcher makes no representation or warranty, express or implied, as to the accuracy or completeness of any such information.

2.3 The inclusion of a Seller or machine on the Platform, including any “Verified Supplier” badge or similar designation, does not constitute an endorsement, guarantee, or certification by Machine Matcher of that Seller’s legitimacy, reliability, or the quality of their machinery. Any verification undertaken by us is limited in scope and does not remove the Buyer’s responsibility to conduct their own due diligence.

3. Buyer Responsibilities

3.1 Buyers are solely responsible for:

(a) Independently verifying the identity, legitimacy, and reliability of any Seller before entering into any transaction;

(b) Conducting their own inspection, due diligence, and technical assessment of any machinery before purchase, including but not limited to condition, specification, compliance with local regulations, and fitness for the Buyer’s intended purpose;

(c) Negotiating and agreeing their own terms, pricing, payment structure, and delivery arrangements directly with the Seller;

(d) Arranging and paying for any inspection, testing, certification, insurance, shipping, customs clearance, and import compliance required for their jurisdiction;

(e) Making any payment directly to the Seller, or via a payment method of the Buyer’s own choosing, at the Buyer’s own risk.

3.2 Machine Matcher strongly recommends that Buyers do not release full payment prior to inspecting or verifying machinery, and exercise the same caution they would when dealing with any third party they have not previously worked with.

3.3 Buyers acknowledge that Machine Matcher has no visibility or control over, and accepts no responsibility for, the actual conduct of any transaction once an introduction has been made.

4. Seller Responsibilities

4.1 Sellers listing machinery on the Platform warrant that:

(a) All information, descriptions, specifications, images, and claims submitted are accurate, current, and not misleading;

(b) They have full legal right, title, and authority to list and sell the machinery described;

(c) They will comply with all applicable laws, including consumer protection, export control, and product safety legislation relevant to their listings;

(d) They hold all necessary rights and permissions to any content (including images, logos, and descriptions) submitted for their listing, and that such content does not infringe any third party’s intellectual property rights.

4.2 Sellers are solely responsible for the accuracy of their listings and for any transaction, dispute, warranty claim, or liability arising from the sale of their machinery.

5. No Liability

5.1 To the fullest extent permitted by law, Machine Matcher accepts no liability whatsoever for:

(a) The condition, quality, safety, legality, or fitness for purpose of any machinery listed on the Platform;

(b) Any loss, damage, cost, or expense arising from a transaction, dispute, misrepresentation, or breach of contract between a Buyer and a Seller;

(d) Any inaccuracy, error, or omission in a listing, whether caused by the Seller or otherwise;

(e) Any failure of a Seller to deliver, or a Buyer to pay for, machinery as agreed between them;

(f) Any indirect, consequential, special, or economic loss, including but not limited to loss of profit, loss of business, or loss of opportunity, arising out of or in connection with use of the Platform.

5.2 Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

5.3 Subject to Clause 5.2, our total aggregate liability to any user arising out of or in connection with the Platform, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by that user to Machine Matcher in the twelve (12) months preceding the event giving rise to the claim, or £100, whichever is greater.

6. Indemnity

6.1 Each user agrees to indemnify and hold harmless Machine Matcher, its officers, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

(a) Their use of the Platform;

(b) Any transaction entered into with another user;

(d) Any inaccurate or misleading information they submit.

7. Introductions and Third-Party Dealings

7.1 Where Machine Matcher introduces a Buyer to a Seller (or vice versa), our role ends upon that introduction unless the parties have separately engaged our Sourcing & Buying Support service under a distinct written agreement.

7.2 Any communication, negotiation, contract, or dispute that follows an introduction is conducted entirely at the parties’ own risk and outside the scope of these Terms, save as set out in Section 8.

8. Sourcing & Buying Support (Separate Service)

8.1 Where a Buyer separately engages our Sourcing & Buying Support service, a distinct written agreement setting out the specific terms, payment structure, and responsibilities of that engagement will apply, and will take precedence over this Section in the event of conflict.

8.2 In all other respects, use of the Platform (including browsing listings and contacting Sellers directly) remains subject to these Terms.

9. Paid Listings (Sellers)

9.1 Sellers using our paid listing service agree to the pricing, billing, and cancellation terms set out at the point of sign-up.

9.2 Machine Matcher reserves the right to remove, suspend, or decline to publish any listing at its sole discretion, including where we reasonably believe a listing to be inaccurate, fraudulent, or in breach of these Terms.

9.3 No refund is due for any period during which a listing was live and available to Buyers, save as otherwise agreed in writing.

10. Intellectual Property

10.1 The Platform, including its design, text, and branding, is owned by Machine Matcher and protected by intellectual property laws. Users may not copy, reproduce, or exploit any part of the Platform without our prior written consent.

10.2 Sellers grant Machine Matcher a non-exclusive, royalty-free licence to display any content they submit (including images, descriptions, and logos) on the Platform for the purpose of providing our services.

11. Governing Law and Jurisdiction

11.1 These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

12.1 We may update these Terms from time to time. Continued use of the Platform following any update constitutes acceptance of the revised Terms.
